Terms & conditions of purchase

1. General information
These terms and conditions of purchase shall apply to all business dealings between syskomp gehmeyr GmbH, Auerbacher Strasse 2, 93057 Regensburg, Germany, represented by the managing partner syskomp gehmeyr GmbH, which is represented by Managing Director Jan-Hendrick Aschmann, which are recorded in the Commercial Register: District Court of Amberg, HRB 2328, and the Seller at the time of the conclusion of the contract in its valid version. Contradictory general terms and conditions of the Seller are hereby expressly rejected.
2. Order acceptance
The company syskomp gehmeyr GmbH is bound to its contractual offer for 5 workdays. It is incumbent upon the Seller to accept the offer within this period.
3. Delayed delivery
If the Seller does not meet the agreed delivery date, syskomp gehmeyr GmbH reserves the right to exercise its legal rights associated with the delayed performance, even without a grace period. The unconditional acceptance of delayed deliveries does not represent a waiver of statutory rights.
4. Delivery free of charge
The Seller shall deliver free of charge and at his own risk, to the registered office of syskomp gehmeyr GmbH or to the business premises or headquarters of syskomp gehmeyr GmbH’s customer.
The Seller shall grant syskomp gehmeyr GmbH a cash discount in the amount of 3% in the event that syskomp gehmeyr GmbH pays an invoice amount within 30 days upon receipt of the invoice.
Statutory warranty regulations shall apply. The limitation period for the warranty claims of syskomp gehmeyr GmbH is 2 years. In urgent cases, syskomp gehmeyr GmbH is entitled to repair the defects to the goods sold at the Seller’s costs, to have them repaired, or to obtain a replacement for the defective item, even without requesting supplementary performance.
7. Indemnification for product liability
The Seller shall indemnify syskomp gehmeyr GmbH from all product liability claims of its customers if and when the asserted claim is related to the faulty delivery of the Seller. If this is the case, the Seller shall bear all costs and expenditures, including for any recall measures that may be required.
Documents and information of any kind, which syskomp gehmeyr GmbH gives the Seller access to, are exclusively conveyed to third parties for the purposes of fulfilment of the contract.
9. Quality and environmental management system
The quality and environmental management system of syskomp gehmeyr GmbH is guided by DIN ISO 9001:2015 and DIN 14001:2015-11 and is an integral part of all business processes with the aim of ensuring customer satisfaction and environmental protection. 10. Place of jurisdiction
The court of jurisdiction is Amberg.
11. Applicable law and severability clause
German law shall apply as agreed unless mandatory statutory provisions under the Seller’s home country’s laws preclude this. The invalidity of individual provisions shall not affect the validity of the remaining provisions of these Terms and Conditions of Purchase.
